1. Introduction

Welcome to AZ Marketing and Web Design Studio ("Company," "we," "our," or "us"). These Terms and Conditions (the "Terms") govern your access to and use of aounzia.com (the "Site") and the digital marketing, SEO, AEO, GEO, web design, and social media management services we provide (collectively, the "Services").

By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Site or our Services.

2. Definitions

  • "Client," "you," or "your" refers to the individual, business, or legal entity accessing the Site or engaging our Services.

  • "Deliverables" refers to the final digital products, marketing campaigns, website architecture, or creative assets provided to the Client under an agreed-upon scope of work.

  • "Statement of Work" (SOW) refers to a separate, mutually agreed-upon document detailing the specific scope, timelines, and fees for a particular project or retainer.

3. Scope of Services

We provide advanced digital growth solutions, including but not limited to 360-degree marketing, traditional Search Engine Optimization (SEO), Answer Engine Optimization (AEO), Generative Engine Optimization (GEO), and enterprise-level web design.

The exact specifications, timelines, and deliverables for your project will be outlined in a formal Statement of Work (SOW) or project proposal. Any requests for additional work outside the agreed-upon scope will require a new SOW and may incur additional fees.

4. Client Obligations and Cooperation

To ensure the successful and timely delivery of our Services, the Client agrees to:

  • Provide Necessary Access: Supply all necessary access credentials (e.g., website CMS, social media platforms, hosting environments, analytics accounts) required for the Company to perform the Services.

  • Timely Feedback: Respond to requests for approvals, feedback, and necessary project information in a timely manner. Delays in Client feedback may result in adjusted project timelines.

  • Provide Content: Supply any required text, graphics, branding guidelines, or media assets in the agreed-upon format, unless content creation is explicitly included in the SOW.

  • Intellectual Property Compliance: Ensure that any materials provided to the Company for use in the project do not infringe upon the copyrights, trademarks, or intellectual property rights of any third party.

5. Fees, Invoicing, and Payment Terms

  • Pricing Structure: All fees for our Services will be clearly detailed in your proposal or SOW. Services may be billed on a fixed-fee project basis, an hourly rate, or a monthly recurring retainer.

  • Payment Schedule: Unless otherwise specified in writing, we require an upfront deposit prior to commencing any design or marketing work. Remaining balances are typically tied to specific project milestones or due on a net-30 day basis for monthly retainers.

  • Late Payments: AZ Marketing and Web Design Studio reserves the right to pause ongoing campaigns, suspend Services, or withhold the transfer of final Deliverables if invoice payments are significantly delayed.

  • Taxes: The Client is responsible for paying any applicable local or national taxes associated with the purchase of the Services.

6. Intellectual Property Rights and Ownership

  • Client Ownership: Upon receipt of full and final payment, the Client will own the exclusive rights to the specific, finalized Deliverables created for their project (e.g., final website design, custom campaign creatives).

  • Company Retained Rights: The Company retains all ownership rights, titles, and interests in any pre-existing proprietary code, base frameworks, templates, or underlying methodologies used to create the Deliverables. We grant the Client a non-exclusive, perpetual license to use these underlying tools as they are incorporated into the final Deliverables.

  • Portfolio Rights: Unless otherwise restricted by a signed Non-Disclosure Agreement (NDA), we reserve the right to display the completed project, alongside the Client's logo, in our professional portfolio, case studies, and marketing materials to demonstrate our expertise.

7. Acceptable Use Policy

By using our Site and engaging our digital infrastructure, you agree not to:

  • Use the Site or Services for any unlawful, fraudulent, or malicious purpose.

  • Attempt to gain unauthorized access to our servers, networks, or underlying code architecture.

  • Deploy malware, viruses, or any code intended to disrupt the functionality of the Site or our digital ecosystem.

  • Submit or publish content through our platforms that is defamatory, abusive, offensive, or infringes on another's right to privacy.

8. Disclaimers and Limitation of Liability

  • No Guarantee of Specific Results: While we execute industry-leading SEO, AEO, and GEO strategies, search engine algorithms and AI language models are controlled by third parties (e.g., Google, OpenAI). We cannot guarantee specific algorithmic rankings, traffic volumes, or immediate financial returns.

  • Limitation of Liability: To the maximum extent permitted by applicable law, AZ Marketing and Web Design Studio, its employees, and its contractors shall not be liable for any indirect, incidental, consequential, or punitive damages—including loss of profits, data, or business opportunities—arising out of your use of the Site or our Services.

  • Liability Cap: In no event shall our total aggregate liability for any claims arising under these Terms exceed the total amount you have paid to us for the specific Services giving rise to the claim during the three (3) months preceding the event.

9. Term and Termination

  • Agreement Duration: These Terms remain in full force and effect while you use the Site or receive our Services.

  • Termination by Notice: Either party may terminate an ongoing service agreement by providing written notice, subject to the specific cancellation terms outlined in the individual SOW (typically requiring 30 days' advance notice).

  • Termination for Cause: We reserve the right to immediately suspend or terminate your access to the Site or Services, without prior notice or liability, if you fundamentally breach any of these Terms and Conditions or fail to make scheduled payments.

10. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law principles. Any legal disputes, claims, or controversies arising out of or related to these Terms, the Site, or our Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Pakistan.

11. Modifications to the Terms

The digital landscape evolves rapidly, and we reserve the right to update, modify, or replace these Terms and Conditions at any time. Any changes will be effective immediately upon posting to this page, and the "Effective Date" at the top will be updated accordingly.
